SOAPBOX WOMEN NON-DISCOLSURE AGREEMENT

​This Non-Disclosure Agreement (the "Agreement") is entered into on Account Creation Date by and between Soapbox Women] ("Organization") and [MEMBER NAME] ("Member").

1. Purpose

​

The purpose of this Agreement is to protect the confidential information of the Organization and its members.

 

2. Confidential Information

 

"Confidential Information" includes, but is not limited to:

• Member names, contact information, and any personal details

• Information shared during meetings or events

• Organization strategies, plans, and internal documents

• Any other information designated as confidential by the Organization

 

3. Obligations

 

The Member agrees to:

   a) Keep all Confidential Information strictly confidential

   b) Not disclose Confidential Information to any third party without prior written consent from the           Organization

   c) Use Confidential Information only for purposes related to membership in the Organization

   d) Take reasonable measures to protect the secrecy of and avoid disclosure or use of Confidential Information

 

4. Exclusions

 

This Agreement does not apply to information that:

   a) Was already known to the Member prior to disclosure by the Organization

   b) Is or becomes publicly known through no wrongful act of the Member

   c) Is independently developed by the Member without use of the Confidential Information

   d) Is required to be disclosed by law or court order

 

5. Term

 

This Agreement shall remain in effect for the duration of the Member's membership and for a period of [X] years after termination of membership.

 

6. Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the State of [California/New York].

 

7. Remedies

​

The Member acknowledges that any breach of this Agreement may cause irreparable harm to the Organization and its members. The Organization shall be entitled to seek injunctive relief in addition to any other remedies available at law or in equity.

 

By creating a Soapbox Women Account, the Member acknowledges having read, understood, and agreed to the terms and conditions of this Agreement.
